I. Introduction and Acceptance of Terms
These Terms and Conditions (the "Agreement") are entered into by and between you ("Client," "you," or "your") and Sovereign Stitches ("Company," "we," "us," or "our"). This Agreement sets forth the legally binding terms for your use of the Sovereign Stitches website, located at www.sovereignstitches.com (the "Website"), and all services offered by the Company, including bespoke tailoring and garment creation (collectively, the "Services").
By accessing or using the Website or Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not access or use the Website or Services. We reserve the right to modify or update these Terms and Conditions at any time without prior notice. Your continued use of the Website or Services after any such changes constitutes your acceptance of the new Terms and Conditions.
For the purpose of this Agreement, "Client" refers to any individual or entity that procures tailoring services from Sovereign Stitches. All bespoke creations are subject to the terms herein.
II. Service Agreement and Customization
Sovereign Stitches provides bespoke tailoring services, creating custom garments based on client specifications, measurements, and fabric selections. Upon initial consultation and design approval, a detailed order summary will be provided, outlining the agreed-upon style, fabric, measurements, estimated timeline, and cost.
A. Consultations and Design: All consultations are by appointment. We strive to capture your vision accurately. Any design changes requested after the initial approval may incur additional charges and may affect the delivery timeline. Minor adjustments during the fitting process are standard, but significant alterations to the original design may not be feasible or may require renegotiation of terms.
B. Measurements: Accurate measurements are crucial for a perfect fit. Our skilled tailors will take your measurements. While we exercise the utmost care, minor discrepancies between initial measurements and final fit, within a reasonable tolerance, are inherent in the bespoke process and are not grounds for a full refund.
C. Fabric and Materials: We source premium fabrics and materials. While we endeavor to display colors and textures accurately on our website and in our showroom, slight variations may occur due to the nature of natural materials and screen calibration. Clients are encouraged to view fabric swatches in person whenever possible.
D. Fittings: Multiple fittings may be required to achieve the desired fit and finish. Clients are expected to attend all scheduled fitting appointments. Failure to attend without adequate notice may result in delays and potential additional charges for rescheduling.
III. Payment Terms
A. Deposit: A non-refundable deposit of 50% of the total estimated cost is required at the time of order placement to commence work. This deposit covers initial material sourcing and labor.
B. Final Payment: The remaining balance is due upon completion of the garment and prior to delivery or collection. We accept payment via major credit cards, bank transfers, and cash. Detailed invoices will be provided for all transactions.
C. Late Payments: Payments not received within 14 days of the final invoice date may incur a late fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by law, whichever is less. Continued non-payment may result in the forfeiture of the garment and any payments made.
D. Price Adjustments: Prices are subject to change based on fluctuating material costs, design complexity, and custom requests. Any significant price adjustments will be communicated and agreed upon with the client before proceeding with work beyond the initial deposit.
IV. Cancellation and Returns Policy
Due to the highly personalized and custom nature of our Services, all sales are considered final once production has commenced.
A. Client Cancellations: Should a client need to cancel an order, the 50% deposit is non-refundable. If cancellation occurs after fabric has been cut or significant work has been completed, the client may be liable for additional costs incurred, up to the full value of the order, as determined by Sovereign Stitches.
B. Company Cancellations: In rare circumstances, Sovereign Stitches may need to cancel an order due to unforeseen events (e.g., unavailability of materials, unavoidable production issues). In such cases, all payments made by the client will be fully refunded. The Company will not be liable for any consequential damages beyond the refund of payments made.
C. Returns and Refunds: As our garments are custom-made to individual specifications, we do not offer returns or refunds on completed orders unless there is a demonstrable manufacturing defect or a significant deviation from the agreed-upon design that cannot be rectified through minor alterations. Clients must notify Sovereign Stitches in writing within 7 days of receiving their garment to report any such issues. We reserve the right to inspect the garment and attempt reasonable alterations to correct any valid claims.
V. Intellectual Property Rights
All designs, patterns, sketches, concepts, and unique tailoring techniques developed by Sovereign Stitches remain the intellectual property of the Company. Clients are granted the right to use and wear the finished garments for personal use. Unauthorized reproduction, distribution, or commercial use of our proprietary designs or craftsmanship without our express written consent is strictly prohibited.
VI. Limitation of Liability
Sovereign Stitches shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, revenue, data, or use, arising out of or in connection with your access to, use of, or inability to access or use the Website or Services. Our liability for any claim arising out of or related to this Agreement or the Services shall not exceed the total amount paid by you to Sovereign Stitches for the specific Services giving rise to the claim.
While we take all reasonable precautions to ensure the quality and integrity of our Services, we do not warrant that the Website will be uninterrupted or error-free. The Website and Services are provided on an "as is" and "as available" basis.
VII. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this Agreement to be so arbitrated, shall be settled by binding arbitration administered by the esteemed Arbitral Tribunal of London. The arbitration shall take place in London, United Kingdom, in the English language, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
If arbitration is not pursued, any legal action arising under this Agreement shall be brought exclusively in the courts of England and Wales, and you hereby irrevocably consent to the personal jurisdiction and venue therein. You agree that any cause of action arising out of or related to the Website or Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
VIII. Governing Law and Jurisdiction
This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes not settled by arbitration.
IX. Miscellaneous Provisions
A. Force Majeure: Sovereign Stitches shall not be held liable for any delay or failure in performance of its obligations under this Agreement if such delay or failure is due to causes beyond its reasonable control, including but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. The affected party shall promptly notify the other party of the event and its expected duration.
B. Entire Agreement: This Agreement constitutes the entire agreement between you and Sovereign Stitches regarding the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
C. Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Agreement, and the remaining provisions shall continue in full force and effect.
D. Waiver: The failure of Sovereign Stitches to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision or any other right or provision.
E. Assignment: You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Sovereign Stitches. Sovereign Stitches may assign its rights and obligations under this Agreement without restriction.
